Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Q4Fun LLC ("q4fun," "we," "our," or "us") governing your access to and use of the q4fun platform, accessible at q4fun.com and queueforfun.com (collectively, the "Platform"), including all features, content, and services offered through the Platform.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

You must be at least 18 years of age to create an account on the Platform. Individuals under 18 ("Minors") may participate in events and activities only through a profile created and managed by their parent or legal guardian, as described in Section 5.

By creating an account, you represent and warrant that you are at least 18 years old, that the information you provide is accurate and complete, and that you have the legal capacity to enter into these Terms.

You may register for an account using an email address and password or through a supported federated sign-in provider (Google, Facebook, or Apple). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You agree to notify us immediately of any unauthorized use of your account.

Your account is personal to you. You may not transfer, assign, or share your account with any other person. One account provides access across all clubs and organizations on the Platform.

4.1 Club Creation and Management

Club administrators may create and manage clubs, locations, resources, events, and staff on the Platform. By creating a club, you represent that you have the authority to act on behalf of the organization you are representing, if applicable.

Club administrators are responsible for the accuracy of all club information, event details, pricing, and communications published through the Platform.

4.2 Payment Setup and Responsibilities

To accept payments through the Platform, club administrators must complete Stripe Connect onboarding and connect a valid bank account. By completing Stripe Connect onboarding, you agree to Stripe's Connected Account Agreement and Stripe's terms of service.

Club administrators are responsible for setting accurate pricing, managing refund requests, responding to payment disputes, complying with applicable tax obligations, and ensuring that all fees charged to participants are clearly communicated.

4.3 Staff and Human Resources

Club administrators may designate users as staff (instructors, referees, coordinators, etc.) and assign them to events. Administrators are responsible for verifying the qualifications and suitability of staff assigned to events, particularly those involving minors.

5.1 Guardian Responsibilities

Parents and legal guardians ("Guardians") may create and manage profiles for their minor dependents. By creating a minor profile, you represent and warrant that you are the minor's parent or legal guardian and have the legal authority to consent to the minor's participation and the collection of their information.

Guardians are responsible for all actions taken on behalf of their minor dependents, including event registrations, waiver acceptances, and payments. Guardians agree to review and approve all activities for their minors.

5.2 Minor Accounts

Minor profiles do not have independent login credentials. Minors cannot self-register for events, complete payments, accept waivers, or take any independent action on the Platform. All actions require Guardian initiation and approval.

A minor may have multiple Guardians (e.g., co-parents), each of whom may manage the minor's profile and activities.

6.1 Event Participation

By registering for an event, you agree to the event's terms as published by the club, including pricing, schedule, rules, age and skill restrictions, and any required waivers. Registration may be subject to capacity limits and waitlist placement.

6.2 Waivers

Certain events may require participants (or Guardians on behalf of minors) to sign a digital waiver as a condition of registration. By signing a waiver, you acknowledge that you have read and understood its terms. Waivers are stored electronically and associated with the registration record.

6.3 Tournament Participation

Tournament events may involve divisions, seeding, pool play, bracket elimination, and automated match scheduling. By registering for a tournament, you agree to abide by the tournament format and rules as determined by the club administrator. Match scores entered by participants are subject to confirmation; administrators may override scores in the event of a dispute.

6.4 Cancellations and Refunds

Refund policies are determined by each club and should be communicated at the time of registration. Club administrators may issue full or partial refunds at their discretion through the Platform. q4fun is not responsible for refund disputes between participants and clubs.

7.1 Payment Processing

All payments on the Platform are processed by Stripe. By making a payment, you agree to Stripe's terms of service. Credit card and payment information is collected directly by Stripe and is never stored on q4fun servers.

7.2 Platform Fees

q4fun charges platform fees on transactions processed through the Platform, in addition to Stripe's standard payment processing fees. Current platform fee rates are published on our Fee Schedule. q4fun reserves the right to modify platform fee rates with 30 days' advance notice to affected clubs.

7.3 Pool Mode

Pool mode enables collect-and-distribute payment functionality for events where participant contributions are pooled, expenses are deducted, and the remainder is distributed according to a payout template defined by the organizer.

By participating in a pool mode event, you acknowledge that your contribution will be distributed according to the organizer's payout template, that expenses (including court fees and processing fees) will be deducted from the pool before distribution, and that q4fun acts solely as a payment facilitator and is not responsible for payout disputes between participants and organizers.

7.4 Taxes

Club administrators are solely responsible for determining, collecting, and remitting any applicable taxes (including sales tax, use tax, or value-added tax) on fees they charge through the Platform. q4fun does not provide tax advice.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Provide false, misleading, or inaccurate information in your account, club, or event listings.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Platform, servers, or networks connected to the Platform.
• Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks.
• Use automated means (bots, scrapers, crawlers) to access or collect data from the Platform without our written consent.
• Harass, abuse, threaten, or intimidate other users of the Platform.
• Use the Platform to promote illegal gambling in jurisdictions where prohibited. Users are solely responsible for ensuring compliance with local laws regarding prize pools and competitive play.

9.1 q4fun Intellectual Property

The Platform and its original content (excluding user-generated content), features, and functionality are owned by Q4Fun LLC and are protected by copyright, trademark, and other intellectual property laws. The q4fun name, logo, and all related marks are trademarks of Q4Fun LLC.

9.2 User Content

You retain ownership of content you create or upload to the Platform (club descriptions, event details, profile photos, etc.). By posting content on the Platform, you grant q4fun a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content solely in connection with operating and improving the Platform.

You represent and warrant that you own or have the necessary rights to any content you post and that your content does not infringe the intellectual property rights of any third party.

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

q4fun does not warrant that the Platform will be uninterrupted, error-free, or secure. q4fun does not guarantee the accuracy, completeness, or reliability of any content on the Platform, including event details, schedules, and scores posted by clubs or participants.

q4fun is a platform that facilitates connections between clubs, organizers, and participants. q4fun is not an event organizer, sports league, fitness provider, or financial advisor. q4fun does not endorse any club, event, or participant on the Platform.

To the maximum extent permitted by applicable law, Q4Fun LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with your use of the Platform, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if q4fun has been advised of the possibility of such damages.

In no event shall q4fun's total aggregate liability for all claims related to the Platform exceed the greater of (a) the total amount of fees paid by you to q4fun in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Q4Fun LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, your violation of these Terms, your violation of any applicable law or regulation, your content, or your infringement of any intellectual property or other rights of any third party.

For club administrators, this indemnification extends to claims arising from the events, services, and content you offer through the Platform, including claims by participants related to injuries, losses, refund disputes, or event cancellations.

13.1 Informal Resolution

Before filing any formal proceeding, you agree to attempt to resolve any dispute with q4fun informally by contacting legal@q4fun.com. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved informally, either party may proceed as described below.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall take place in the State of Texas. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against q4fun.

13.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent imminent or ongoing harm.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

15.1 By You

You may terminate your account at any time by contacting support@q4fun.com or through your account settings. Termination does not relieve you of any obligations incurred prior to termination, including outstanding payments.

15.2 By q4fun

We may suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent activity, non-payment of fees, or conduct that we determine is harmful to other users or the Platform.

Upon termination, your right to access the Platform ceases immediately. We may retain certain information as required by law or for legitimate business purposes, as described in our Privacy Policy.

15.3 Effect on Clubs

If a club administrator's account is terminated, the club's active events will be managed in accordance with our wind-down procedures. Participants with existing registrations will be notified and refunds will be processed as appropriate. Pending payouts will be distributed in accordance with Stripe's terms.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform with a revised "Last Updated" date and, where appropriate, by email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.

• Entire Agreement: these Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and q4fun.
• Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: the failure of q4fun to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: you may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
• Force Majeure: q4fun shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
• Notices: we may send notices to the email address associated with your account. You may send notices to legal@q4fun.com.
